1. Acceptance of Terms

Welcome to Uwazo! These Terms of Service ("Terms") constitute a legally binding agreement between you ("You", "Your", or "User") and Uwazo ("Company", "We", "Us", or "Our") governing your access to and use of our AI-powered chat application, website (the "Website"), and related services (collectively, the "Service").

By creating an Account, accessing the Website, or using the Service in any way, you agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference. If you do not agree to these Terms, you must not access or use the Service.

2. Description of the Service

Uwazo is an AI-powered informational tool designed to assist users by providing information and generating text related to Kenyan tax, finance, and law. The Service uses third-party Large Language Models (LLMs) to process user queries and analyze documents you upload to generate responses.

The Service is intended to augment your knowledge and assist with research. It is not a substitute for professional advice.

3. User Accounts

• Eligibility: You must be at least 18 years old and capable of entering into a binding contract to use the Service.
• Account Security: You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.
• Accurate Information: You agree to provide true, accurate, and complete information when creating and maintaining your account.

4. Subscriptions and Payments

• Paid Services: Certain features of the Service may require payment ("Paid Services"). By selecting a Paid Service, you agree to pay the specified fees.
• Billing: We may use a third-party payment processor to bill you. The processing of payments will be subject to the terms, conditions, and privacy policies of the payment processor in addition to these Terms.
• Cancellations: You may cancel your subscription at any time. Your access to the Paid Services will continue until the end of your current billing period, after which it will not renew.
• Refunds: Payments are generally non-refundable, except where required by law.
• Fee Changes: We reserve the right to change our subscription fees. We will provide you with reasonable prior notice of any fee changes.

5. User Content and Responsibilities

• Your Content: You retain all ownership rights to the documents you upload ("User Documents") and the queries you submit ("Chat Content").
• License to Us: To provide the Service, you grant Us a limited, worldwide, non-exclusive, royalty-free license to use, process, reproduce, and display your User Documents and Chat Content solely for the purpose of operating, providing, and improving the Service for you. This license ends when you delete your content or your account.
• Responsibility: You are solely responsible for your content. You represent and warrant that you have all necessary rights to upload your User Documents and that your content does not violate any laws or infringe on any third-party rights.

6. Acceptable Use Policy

You agree not to use the Service to:

• Engage in any illegal, fraudulent, or harmful activities.
• Upload or transmit any content that is unlawful, defamatory, or infringes on the rights of others.
• Attempt to reverse-engineer, decompile, or otherwise discover the source code of the Service.
• Use the output of the Service to develop competing models or services.
• Use the Service for any high-risk activities where failure could lead to death, personal injury, or severe environmental damage.

7. Intellectual Property

Other than your User Content, the Service and all its original content, features, and functionality (including but not limited to all software, text, displays, images, video, and audio, and the design thereof) are and will remain the exclusive property of Uwazo and its licensors.

8. DISCLAIMERS AND LIMITATION OF LIABILITY

• NO PROFESSIONAL ADVICE: THE CONTENT AND INFORMATION PROVIDED BY THE SERVICE ARE FOR INFORMATIONAL PURPOSES ONLY. UWAZO IS NOT A LAW FIRM OR A FINANCIAL ADVISORY FIRM. THE SERVICE DOES NOT PROVIDE LEGAL, FINANCIAL, OR TAX ADVICE. YOU SHOULD NOT RELY ON THE SERVICE AS A SUBSTITUTE FOR, NOR DOES IT REPLACE, THE ADVICE OF A QUALIFIED PROFESSIONAL.
• NO GUARANTEE OF ACCURACY: THE SERVICE USES ARTIFICIAL INTELLIGENCE, WHICH MAY PRODUCE INACCURATE OR INCOMPLETE INFORMATION ("HALLUCINATIONS"). WE MAKE NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY CONTENT PROVIDED. YOU MUST INDEPENDENTLY VERIFY ANY INFORMATION BEFORE RELYING ON IT.
• "AS IS" SERVICE: THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
• LIMITATION OF LIABILITY: TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL UWAZO, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, OR DIRECTORS BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SERVICE, INCLUDING ANY LOSS OF REVENUE, LOSS OF PROFITS, OR LOSS OF DATA, EVEN IF FORESEEABLE.
• LIABILITY CAP: OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING FROM THE USE OF THE SERVICE IS LIMITED TO THE GREATER OF (A) THE TOTAL AMOUNT OF FEES YOU PAID TO US IN THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

9. Termination

You may terminate these Terms at any time by deleting your account and ceasing to use the Service. We may suspend or terminate your access to the Service at any time, with or without cause, if you violate these Terms.

10. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of Kenya, without regard to its conflict of law provisions. Any legal suit, action, or proceeding arising out of these Terms shall be instituted exclusively in the courts of Nairobi, Kenya.

11. Changes to the Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on the Website, updating the "Last updated" date, and/or notifying you through the Service or by email. Your continued use of the Service after any such change constitutes your acceptance of the new Terms.
