1. Acceptance of Terms
Welcome to Uwazo! These Terms of Service ("Terms") constitute a legally binding agreement between you ("You", "Your", or "User") and Uwazo ("Company", "We", "Us", or "Our") governing your access to and use of our AI-powered chat application, website (the "Website"), and related services (collectively, the "Service").
By creating an Account, accessing the Website, or using the Service in any way, you agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference. If you do not agree to these Terms, you must not access or use the Service.
2. Key Definitions
- Customer Content means all documents, chat messages, metadata, and other information that you or your Organization submit to the Service.
- AI Output means any content generated by the Service in response to your prompts.
- Organization means a company or other entity that creates a multi-user account, including its administrators and members.
- Administrator (Admin) means an Organization user with permissions to manage seats, billing, workspaces, and data.
- Workspace means a logical container within the Service that stores Customer Content for an individual user or Organization.
- Bring Your Own Backend (BYOB) means an Organization-deployed Supabase instance that integrates with the Service to store Customer Content.
3. Description of the Service
Uwazo is an AI-powered informational tool designed to assist users by providing information and generating text related to Kenyan tax, finance, and law. The Service uses third-party Large Language Models (LLMs) and other infrastructure partners to process queries, analyze Customer Content, and generate responses.
The Service is intended to augment your knowledge and assist with research. It is not a substitute for professional advice.
3. User Accounts
- Eligibility: You must be at least 18 years old and capable of entering into a binding contract to use the Service.
- Account Security: You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.
- Accurate Information: You agree to provide true, accurate, and complete information when creating and maintaining your account.
4. Organizations and Business Accounts
- If you create or join an Organization account, you represent that you have authority to bind that Organization to these Terms.
- Admins manage seat assignments, workspace access, role permissions, invitations, billing, and data retention. You and your Organization are responsible for all actions taken by Members and invited users.
- Customer Content submitted to an Organization workspace is visible to Admins and other Members with appropriate permissions.
- You warrant that you have obtained all rights, consents, and authorisations needed to upload Customer Content, including any personal data belonging to employees, clients, or counterparties.
5. Subscriptions, Billing, and Taxes
- Certain features of the Service require payment ("Paid Services"). By selecting a Paid Service you agree to pay the applicable fees.
- Seat-based plans are billed per active seat. Upgrades, downgrades, or changes to seat counts may result in prorated charges within the current billing cycle.
- Fees recur automatically at the interval stated at checkout unless cancelled prior to renewal. Cancellations take effect at the end of the current billing period.
- Prices exclude taxes unless stated otherwise. You are responsible for all applicable taxes, duties, and withholdings.
- We use third-party processors such as Paystack and M-PESA to collect payments. Payment processing is subject to their terms and privacy policies.
- Except where required by law, payments are non-refundable. We will provide reasonable notice of fee changes before they take effect.
5. User Content and Responsibilities
- Your Content: You retain all ownership rights to the documents you upload ("User Documents") and the queries you submit ("Chat Content").
- License to Us: To provide the Service, you grant us a limited, worldwide, non-exclusive, royalty-free license to host, process, reproduce, and display Customer Content solely to operate, maintain, support, secure, and improve the Service and to comply with law.
- Responsibility: You are solely responsible for your content. You represent and warrant that you have all necessary rights to upload your User Documents and that your content does not violate any laws or infringe on any third-party rights.
6. Acceptable Use Policy
You agree not to use the Service to:
- Engage in any illegal, fraudulent, or harmful activities.
- Upload or transmit any content that is unlawful, defamatory, or infringes on the rights of others.
- Attempt to reverse-engineer, decompile, or otherwise discover the source code, models, or underlying components of the Service.
- Use the Service or AI Output to develop competing models or services, or to remove, suppress, or alter citations.
- Engage in automated scraping, excessive querying, or other activity that materially degrades the Service for other users.
- Use the Service for any high-risk activities where failure could lead to death, personal injury, or severe environmental damage.
7. Intellectual Property
Other than your User Content, the Service and all its original content, features, and functionality (including but not limited to all software, text, displays, images, video, and audio, and the design thereof) are and will remain the exclusive property of Uwazo and its licensors.
7. AI Output and License
- Subject to these Terms and timely payment of fees, we grant you a non-exclusive, worldwide license to use AI Output for your internal business purposes.
- You acknowledge that AI Output may be similar to content provided to other customers. You are responsible for reviewing any AI Output for accuracy and compliance with law before relying on it.
- You must not represent AI Output as professional advice or rely on it without independent verification by qualified professionals.
8. Enterprise and BYOB Deployments
- Organizations may deploy a dedicated Supabase instance (BYOB) that integrates with the Service. Customer Content remains controlled by the Organization.
- Our application logic writes to and reads from the Organization's Supabase instance to operate the Service. We only access Customer Content as necessary to provide support, ensure security, satisfy legal obligations, or as otherwise instructed by the Organization.
- We act as a processor of Customer Content for Organization and BYOB deployments. A Data Processing Addendum (DPA) is available upon request.
9. Third-Party Services and Integrations
The Service relies on third parties such as Supabase (authentication, database, storage), Paystack and M-PESA (payments), WorkOS or other identity providers (SSO), Vercel Bot Protection, Exa (optional web search), and LLM providers (e.g., OpenAI, Google) to deliver core functionality. Use of these services is subject to their own terms and policies.
10. DISCLAIMERS AND LIMITATION OF LIABILITY

- NO PROFESSIONAL ADVICE: THE CONTENT AND INFORMATION PROVIDED BY THE SERVICE ARE FOR INFORMATIONAL PURPOSES ONLY. UWAZO IS NOT A LAW FIRM OR A FINANCIAL ADVISORY FIRM. THE SERVICE DOES NOT PROVIDE LEGAL, FINANCIAL, OR TAX ADVICE. YOU SHOULD NOT RELY ON THE SERVICE AS A SUBSTITUTE FOR, NOR DOES IT REPLACE, THE ADVICE OF A QUALIFIED PROFESSIONAL.
- NO GUARANTEE OF ACCURACY: THE SERVICE USES ARTIFICIAL INTELLIGENCE, WHICH MAY PRODUCE INACCURATE OR INCOMPLETE INFORMATION ("HALLUCINATIONS"). WE MAKE NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY CONTENT PROVIDED. YOU MUST INDEPENDENTLY VERIFY ANY INFORMATION BEFORE RELYING ON IT.
- "AS IS" SERVICE: THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
- LIMITATION OF LIABILITY: TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL UWAZO, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, OR DIRECTORS BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SERVICE, INCLUDING ANY LOSS OF REVENUE, LOSS OF PROFITS, OR LOSS OF DATA, EVEN IF FORESEEABLE.
- LIABILITY CAP: OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING FROM THE USE OF THE SERVICE IS LIMITED TO THE GREATER OF (A) THE TOTAL AMOUNT OF FEES YOU PAID TO US IN THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).
9. Termination
You may terminate these Terms at any time by deleting your account and ceasing to use the Service. We may suspend or terminate your access to the Service at any time, with or without cause, if you violate these Terms.
11. Confidentiality
Each party agrees to protect the other party's confidential information using the same degree of care it uses to protect its own confidential information, but no less than a reasonable standard of care. Confidential information includes Customer Content and any non-public information disclosed under these Terms.
12. Indemnification
You agree to indemnify and hold Uwazo, its affiliates, and their respective officers, employees, and agents harmless from any claims, losses, liabilities, damages, costs, and expenses (including legal fees) arising from your Customer Content, your use of the Service, or your breach of these Terms or applicable law.
13. Beta Services
From time to time we may invite you to try beta or preview features. Beta Services are provided for evaluation on an “as is” basis and may be withdrawn at any time without notice.
14. Force Majeure
We will not be liable for any delay or failure in performance due to causes beyond our reasonable control, including acts of God, natural disasters, war, terrorism, labour disputes, or internet service outages.
15. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Republic of Kenya, without regard to its conflict of law provisions. Any legal suit, action, or proceeding arising out of these Terms shall be instituted exclusively in the courts of Nairobi, Kenya.
16. Changes to the Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on the Website, updating the "Last updated" date, and/or notifying you through the Service or by email. Your continued use of the Service after any such change constitutes your acceptance of the new Terms.
